MichBio Open Board of Directors Positions

The MichBio Board of Directors is seeking to fill two non-voting Officer positions: Secretary and Treasurer. Please respond with your interest in sharing this post with your network. 

The term for all officers is one calendar year from the date of election to the role. There is no limit to how many times an officer may be reappointed. Directors and officers shall not receive any compensation for their services in any capacity. Officers are required to attend quarterly Board meetings and any relevant committee meetings, typically held virtually.

The Board Secretary is responsible for: 
  • Recording meeting minutes: This person extracts key information from meetings, takes detailed minutes, and ensures their inclusion as part of the board meeting packet. 
  • Serving as a liaison between officers and directors: This person bridges any communication gap between officers and directors and advises the board on issues related to the organization's bylaws and governance as needed.
  • Maintaining organizational documentation and policies: This person periodically reviews and updates organizational documents and policies to contain current, accurate, and verified information, and is responsible for working with the organization's leadership to preserve all meeting records.
  • Keeping board members informed: This person informs fellow directors of any legal and/or regulatory requirements affecting their responsibilities and explains how it might apply to them and the organization. This may include recent changes to local, district and/or federal legislation. 

The Board Treasurer is responsible for: 
  • Oversight of the organization's finances, including budgeting, financial planning, and making sure that the organization operates within its budgetary constraints.
  • Chairing the Finance Committee, which provides financial governance to the organization.
  • Ensure proper internal controls to safeguard the organization's assets and prevent fraud or misuse of funds, as well as comply with all relevant financial and accounting regulations and legal requirements or reporting obligations specific to non-profit organizations. 
  • Collaborating with other board members to develop long-term financial strategies that align with the organization's mission and goals.
